Sales Terms (Conditions Générales de Vente)

These Sales Terms ("CGV") govern paid subscriptions to the RepForm service. They complement the Terms of Service and the Privacy Policy. They are required under French commercial law for paid SaaS products.

1. Purpose

These Sales Terms define the subscription, payment, renewal and termination conditions for the paid plans of the RepForm service, offered by [RepForm — Legal form to be confirmed], whose registered office is at [address to be confirmed], registered with the [city] Trade and Companies Registry under SIREN number [to be completed].

2. Plans and pricing

RepForm offers several subscription plans (Free, Starter, Growth, Scale). Current pricing is published on the service pricing page. Prices are quoted in euros, VAT-inclusive (TTC) for consumers and VAT-exclusive (HT) for VAT-registered businesses. French VAT at the applicable rate (20 % at the time of writing) applies to customers established in France. Any price change will be subject to at least 30 days' notice by email and will not affect ongoing billing periods already in progress.

3. Subscription and contract formation

Subscriptions are entered into online from within the application, after account creation. The contract is formed upon payment confirmation by our payment processor Stripe. A confirmation email containing the invoice is sent to the customer at the registered address. The customer acknowledges having verified that the chosen plan matches their needs and having read these Sales Terms before order validation.

4. Payment

Payments are processed by bank card (Visa, Mastercard, American Express subject to availability) via our payment processor Stripe Payments Europe, Ltd. RepForm does not store any payment data; only Stripe and the card issuer have access to it. Subscriptions are billed in advance, monthly or annually depending on the option chosen. Renewal is automatic unless cancelled in advance. On payment failure, Stripe performs several automatic retries over 7 days; after that period, access to paid features is suspended until the situation is resolved.

5. Right of withdrawal (consumer customers)

Pursuant to Article L.221-18 of the French Consumer Code, consumer customers have 14 days from contract formation to withdraw without reason or additional cost. However, pursuant to Article L.221-28 1°, by requesting immediate service execution at subscription, the customer expressly waives the right of withdrawal for the portion of the service fully performed before the end of the withdrawal period. This waiver is collected explicitly at checkout via a dedicated opt-in. To exercise the right of withdrawal where applicable, the customer sends their request to support@repform.app by email or via the standard form appended to this document.

6. Cancellation

The customer may cancel their subscription at any time from their account interface (Settings → Subscription → Cancel). Cancellation takes effect at the end of the current billing period, and access to paid features is maintained until that date. No prorated refund is granted for the period already started, except where mandatory legal provisions apply otherwise. RepForm reserves the right to terminate the subscription for serious breach (non-payment, abusive use of the service, violation of the Terms) after a notice of default sent by email and remaining unanswered for 15 days. Upon termination, customer data is retained for 30 days and then permanently deleted (see Privacy Policy).

7. Warranty and limitation of liability

The service is provided on a best-effort basis. No contractual availability target (SLA) is guaranteed on the free plan. The Starter and Growth paid plans target 99 % monthly availability excluding scheduled maintenance and force majeure events. RepForm's liability is capped, for any reason whatsoever, excluding personal injury, wilful misconduct or gross negligence, at the amount actually paid by the customer over the 12 months preceding the triggering event. Indirect damages (loss of revenue, loss of customers, reputational harm, recoverable data loss) are expressly excluded.

8. Personal data and confidentiality

Personal data processing is governed by RepForm's Privacy Policy. For business customers using RepForm to process their own end-customers' and technicians' data, a Data Processing Agreement (DPA) under Article 28 GDPR is available on request at privacy@repform.app. Each party undertakes to respect the confidentiality of information exchanged in the performance of the contract.

9. Intellectual property

RepForm retains sole ownership of the software, source code, trademarks, trade name and graphical elements composing the service. The customer retains full ownership of the data they import or generate via the service. RepForm refrains from any commercial use or reuse of that data outside the contractual provision of the service. Upon termination, the customer may export their data in JSON format from the interface or request an export at support@repform.app.

10. Force majeure

RepForm shall not be held liable for any failure to perform its contractual obligations in the event of a force majeure event within the meaning of Article 1218 of the French Civil Code, including: natural disaster, armed conflict, general strike, public authority decision, prolonged failure of an essential technical sub-processor (Vercel, Supabase, Stripe), massive cyberattack not attributable to a RepForm security defect. The affected party shall inform the other party of the event without delay.

11. Governing law and jurisdiction

These Sales Terms are governed by French law. Failing amicable resolution, any dispute will be brought before the competent courts in the jurisdiction of RepForm's registered office, except where mandatory law provides otherwise (notably in favour of the consumer, in accordance with Article R.631-3 of the French Consumer Code).

12. Consumer mediation

Pursuant to Articles L.611-1 et seq. of the French Consumer Code, consumer customers may, in the event of an unresolved dispute following a prior written claim sent to support@repform.app, freely refer to a consumer mediation service. The customer may also use the European Online Dispute Resolution platform: ec.europa.eu/consumers/odr.
